PARTNER PROGRAM TERMS AND CONDITIONS
These Partner Program Terms and Conditions (“Terms”) govern your (“Partner”, “you”, “your”) participation in the Partner Program (the “Program”) of ERP.net Corporation Ltd. (“Vendor, “we” or “us”).
1. DEFINITIONS
Customer – an individual or company which wants to use/is using the Services for its own benefit.
Partner Level – there are different tiers of partners to VENDOR which are described in the Requirements & Benefits. The term “Partner Level” is used to describe the tier a specific partner is in.
Requirements & Benefits – a document describing the requirements that need to be met and benefits that are received by partners of VENDOR according to their Partner Level. Reseller – a partner that has the right to conclude Sales with Customers on its own behalf and at its own expense. Resellers are not authorized to conclude Sales on behalf/at the expense of VENDOR.
Sale – providing Customers with the non-exclusive right to use Services.
Services – any of the software products that are developed, operated, and maintained by VENDOR.
Subscription Order – an ordering document specifying the Services to be provided that is entered into between Customer and Reseller.
Support Services – the supplemental, technical support services to be provided to Customer for the Services pursuant to item 6.2. “Support” of VENDOR’s Platform Terms Of Use, available at: https://info.erp.net/legal/platform-terms-of-use.html
Bug – any failure of the Services that results in a complete stop, error traceback or security breach, and is not directly caused by a defective installation or configuration. Non-compliance with specifications or requirements will be considered as Bugs at the discretion of VENDOR (typically, when the Services does not produce the results or performance it was designed to produce, or when a country-specific feature does not meet legal accounting requirements anymore).
2. BECOMING A PARTNER
2.1. Application.
To become a partner, you have to fill and submit the application form available on the following page: https://info.erp.net/partners/apply-for-a-partner.html .
VENDOR may accept your application at its discretion but is not obliged to do so.
If accepted, VENDOR sends you a “Confirmation Letter” by email.
2.2. Partnership Agreement. From the date of your receival of the Confirmation Letter, an agreement between you and VENDOR is concluded and enters into force (the “Partnership Agreement”). The Partnership Agreement is governed by and consists of all conditions, included in these Terms, the Requirements & Benefits, and the Confirmation letter.
2.3. Change of Partner Level. You can apply to change your Partner Level by sending a written request for change to VENDOR. In such a case, VENDOR shall review your request and, If you meet the necessary requirements, VENDOR shall approve your request by sending you a new Confirmation letter.
3. RIGHTS AND OBLIGATIONS OF PARTNER
3.1. Partner has the right to receive the benefits described in the Requirements & Benefits document according to its Partner Level.
3.2. Partner is obligated to meet the requirements described in the Requirements & Benefits document according to its Partner Level during the term of the Partnership Agreement.
3.3. VENDOR and the Partner may use each other’s logo to advertise their business and the fact of their partnership if this does not conflict with the confidentiality rules in these Terms.
4. RIGHTS AND OBLIGATIONS OF VENDOR
4.1. VENDOR has the right to provide mandatory instructions and requirements to Resellers regarding the marketing and conclusion of Sales and provide mandatory requirements and instructions to all Partners regarding the fulfilment of their obligations.
4.2. VENDOR is obliged to provide the necessary assistance to the Partner in the performance of its contractual obligations.
5. SPECIAL TERMS FOR RESELLERS
5.1. Applicability. The terms in this section apply only to partners who are also Resellers.
5.2. Reseller Status. Reseller status may be granted by us through the Confirmation Letter at our discretion, only if you have requested this in your application form. Reseller status may be revoked by us if we have reason to believe you do not fulfil your obligations in 5.4., 5.5., 5.6. or 5.9.
5.3. License. VENDOR grants to Resellers for the term of their Partnership Agreement a non-transferable, non-exclusive license to advertise, promote, demonstrate and sublicense the Services to Customers. This license is not subject to sublicensing.
5.4. Conclusion of Sales. A partner, who is a Reseller, has the right to find Customers and conclude Sales with them on its own behalf. Resellers shall have sole responsibility for providing Support Services, customer service and billing to Customers with whom they have concluded Sales and will fulfill such obligations with professional care and skill. We do not assume any responsibility in regard to fulfilment of your obligations to Customers, unless explicitly stated otherwise.
5.5. Terms of Sales of Resellers.
In order to conclude Sales, Resellers must use VENDOR’s template Subscription Order, available on the following link: ... .
Resellers are also obliged to conclude Sales only according to the pricing determined by VENDOR on the following page: https://erp.net/pricing/ .
In case we change the template or pricing, we will notify you by email.
5.6. Reporting. Within 3 /three/ days’ time from concluding a Sale with Customer, Reseller is obliged to report this Sale by sending to VENDOR the filled Subscription Order of said Customer.
5.7. Commission. Resellers receive a commission for each concluded Sale. Commission is a percentage of the total amount due by Customer according to the Subscription Order - the specific percentage is included in the Requirements & Benefits document.
5.8. Payment Terms. For each concluded Sale, Reseller owes to VENDOR the fees due by Customer for the Services according to the Subscription Order. VENDOR issues an invoice to Reseller for the fees of the Customer minus the due commission. Reseller pays the invoice amount in 5 days’ time from receiving the invoice.
5.9. Advertising. Resellers are obliged to conduct all marketing, advertising, and other promotional activities with respect to the Services in a manner which is of high quality, in good taste, and which will preserve the professional image and reputation of VENDOR, and by using the marketing materials and instructions that have been provided by us, if any.
6. SOLUTION PARTNERS
6.1. Becoming a Solution Partner. Customers that work directly with VENDOR can request a partner to be in charge of reporting Bugs to VENDOR on their behalf (so called “Solution Partner”). We will inform you, if you have been requested as a Solution Partner by a Customer. You may either accept or reject this request in 10 days’ time from receiving notice from us.
6.2. Obligations. If you choose to accept such a request, you will be obliged to receive reports of said Customer about Bugs discovered by them and submit them in our ticketing system through the procedure, described here: https://support.erp.net/ .
6.3. Commission. You are not allowed to charge the Customer for this service. As a compensation, you will receive a commission from us, according to the following conditions:
a. If you are a Solution Partner to several Customers, you are entitled to receive a separate commission for each of the Customers.
b. Commission is in the amount provided in the Requirements & Benefits document and is paid to you only if Customer has paid the remuneration it owes to VENDOR.
c. If Customer has paid its due remuneration to us, you can expect to receive your commission in 20 days’ time after the end of each month you have been a Solution Partner. If we do not receive payment from Customer, we will timely inform you of this – in such case you have the right to stop providing services as a Solution Partner to this Customer immediately and request to cease being their Solution Partner. If we receive payment from Customer with delay, we will pay your commission in 20 days’ time from receival of payment from Customer.
6.4. Termination of Solution Partner Status. You cease to be the Solution Partner to a Customer:
a. Upon expiry of 10 days from the time of your request or the request of the Customer for this to us;
b. Immediately, in the event that the Customer’s license to use the Services is terminated for whatever reason, for which we will notify you;
c. Immediately, in the event that your partnership with us is terminated.
6.5. Liability. If a Customer elects to replace you as a Solution Partner, you will not have any claim against VENDOR for damages or lost profits resulting from this.
- AMENDMENT OF THE TERMS AND ‘REQUIREMENTS & BENEFITS’
7.1. These Terms and the Requirements & Benefits document might be amended from time to time by VENDOR. In such case we will publish the updated Terms or Requirements & Benefits on the webpages: https://info.erp.net/partners/partner-program-terms-and-conditions.html and https://info.erp.net/partners/partner-program-requirements-and-benefits.html and will notify you of the change by email.
7.2. If you do not agree to be bound by the new Terms or the new Requirements & Benefits and you wish to terminate your partnership with VENDOR, you must inform VENDOR of this in written form within 10 days after we send you notice of the change. If no written notification for this is received from you, you are deemed to have agreed with the new Terms or Requirements & Benefits and you will be bound by them.
- TERM & TERMINATION OF THE PARTHERSHIP AGREEMENT
8.1. Term. The Partnership Agreement is concluded for a term of 1 /one/ year. Upon expiry of the term, the Partnership Agreement does not automatically renew.
8.2. Termination. The Partnership Agreement shall terminate (i) by mutual agreement of the parties expressed in writing; (ii) by either party with 1-month notice; (iii) in case of liquidation or insolvency of either Party; (iv) upon the occurrence of the other termination scenarios, described in these Terms. VENDOR also has the right to terminate the Partnership Agreement upon 30 days’ notice to you, if:
a. you breach your confidentiality obligations under these Terms or infringe or misappropriate our intellectual property rights;
b. we determine that you are acting, or have acted, in a way that has or may negatively reflect on or affect us, our reputation, or our Customers;
c. Partner is unable to meet the requirements for its respective Partner Level for more than a month.
8.3. Breach. In case a party breaches any of its obligations in this Agreement, the non-defaulting party has the right to unilaterally terminate the Agreement with 1 months’ notice to the defaulting party.
8.4. Termination Consequences. In the event of termination of the Partnership Agreement:
a. Partner shall within 1 /one/ month from date of termination, return to VENDOR all advertising materials, software products, technical literature, and other materials and information provided to you in connection with the fulfillment of your obligations, if any.
b. Partner shall refrain from promoting and offering the Services to Customers, from representing itself as a Partner of VENDOR, and shall immediately discontinue its use of VENDOR’s logo.
8.5. Termination Consequences regarding Resellers. In case of termination of the Partnership Agreement between a Reseller and VENDOR:
a. VENDOR shall within a period of 2 /two/ weeks present a person/entity (meaning another reseller, representative of VENDOR or VENDOR itself) that will substitute Reseller on all concluded Sales between the latter and Customers by assuming all obligations of the Reseller on these Sales. Reseller is obliged to perform any necessary legal or other actions to ensure this assumption of obligations is performed.
b. Reseller must use commercially reasonable efforts to cooperate with VENDOR to facilitate the transference of any Customer orders, subscriptions, data of Customers and other necessary information to the substitute chosen by VENDOR.
9. INTELLECTUAL PROPERTY
9.1. All intellectual property rights regarding the Services belong entirely to VENDOR. Partner has no right to make any additions, changes, decompile, disassemble any of the Services, as well as embed parts of them or the entire software product in other products.
9.2. All intellectual property rights regarding any materials, technical specifications and literature regarding Services, provided to the Partner by VENDOR, belong to the latter. The Partner receives a non-exclusive, non-transferable right to use them for the purpose of the Partnership Agreement and has no right to make them publicly available, reproduce or modify them without the express permission of VENDOR.
9.3. If Partner has developed new features to the Services by assignment of a Customer, all intellectual property rights regarding this feature arise for and are retained by Partner.
10. LIABILITY
10.1. The defaulting party shall indemnify the non-defaulting party against any claims, damages and expenses (including reasonable attorneys' fees and costs) based on or arising from a breach by the defaulting party of the Partnership Agreement.
10.2. Regarding the liability of the parties, sections 12.2.2. and 12.2.3. from VENDOR’s Platform Terms of Use, available at: https://info.erp.net/legal/platform-terms-of-use.html#12-liability-and-indemnities , shall also apply.
11. CONFIDENTIALITY
11.1. For the term of the Partnership Agreement concluded between you and VENDOR, and a period of 2 /two/ years after its termination, each party shall treat in confidence all information obtained from the other and shall not disclose the information in any form to any third party or use the information for any purpose other than the execution of the obligations in these Terms and the Partnership Agreement.
11.2. The confidential information includes any information and documents, and parts thereof, whether communicated orally or in writing, including without limitation: contact information, including names, addresses and details of legal entities and individuals, including of subcontractors, partners and customers; confidential information regarding or received from Customers; any materials, information and correspondence relating to the Partnership Agreement, relating to the commercial policy, internal organization and structure of VENDOR and its pricing/financial policy. Confidential information shall also include any information and documentation which, without having been provided to the Partner, has come to its knowledge during or in connection with the performance of its duties, which relates to the business of VENDOR.
11.3. Confidential Information does not include information that, at the time of disclosure (i) is published, known publicly or is otherwise in the public domain or (ii) after disclosure it is published or becomes known publicly or otherwise becomes part of the public domain, through no fault of the receiving Party or (iii) that may be required by law to be included in either Party’s submission to a regulatory agency or other state authority for review or approval; or (iv) that is required to be disclosed pursuant to operation of law.
11.4. If the submission of information and documents is required by an administrative or judicial authority under a valid legal act, each party shall promptly notify the other party thereof to the extent permitted by law.
11.5. Either party may use for marketing or promotional purposes the fact of entering into the Partnership Agreement when doing so will not harm the interests of the other party and result in the circumvention and/or violation of the provisions of this section of the Terms.
11.6. Partner has the right to disclose confidential information under this Section only to those of its employees who are directly concerned with the performance of the activities under these Terms and the Partnership Agreement and only to the extent necessary for the performance of their specific tasks and shall be responsible for the actions of such persons as its own.
11.7. In the event of a breach of the provisions of this section, the prevailing party shall be entitled to claim damages.
12. PERSONAL DATA
12.1. Each party may collect and process personal data related to the other party's employees and/or customers when relevant to the performance of the obligations in these Terms and the Partnership Agreement.
12.2. Each party acknowledges that it acts as an administrator with respect to the collection and processing of such personal data. For this reason, each party undertakes to comply with all requirements and regulations of this matter.
12.3. Partners are obliged to inform Customers and secure their consent for VENDOR to act as a processing subcontractor in relation to the personal data administered by Customer.
12.4. The parties undertake to implement appropriate technical and organizational measures to protect personal data from accidental or unlawful destruction, loss, alteration, unauthorized disclosure, or access.
- CORRESPONDENCE
13.1. All notices and communications to VENDOR shall be sent only in writing at the addresses, included on the https://erp.net/ page. All notices and communications to the Partner shall be sent to the addresses you have filled in the application form.
13.2. The written form shall also be deemed to have been fulfilled when the communication is made by electronic mail or other technical means which exclude the possibility of inaccurate reproduction of the statement.
- ADDITIONAL TERMS
14.1. The nullity of any of the provisions of these Terms does not lead to the nullity of another provision or of the Terms as a whole.
14.2. VENDOR and Partner shall resolve any disputes arising out of the interpretation and performance of the Partnership Agreement by means of understanding and mutual concessions, and where this is not possible, shall submit the dispute to the competent Bulgarian court in Sofia, where Bulgarian law shall be applicable.
These Terms enter into force on 2023-March-01.
